Holding of the 2022 General Assembly

As you know, joint-stock companies are required to hold their Ordinary General Assemblies in March.
(While there is no penal liability if not held, if the board of directors has been granted a 3-year authorization, the election of the board of directors and the necessary authorization are mandatory in the 3rd year.)
If you would like us to manage the 2022 Ordinary General Assembly (without announcement) process, our fee proposal is 10,000 TRY (+ VAT) + expenses, plus 2,500 TRY + VAT (if the preparation of the annual activity report is requested).
Services included in this fee:
1- Convening the General Assembly by adopting a Board of Directors Resolution (Notary approval and registration)
2- Holding the General Assembly (Notary approval and Trade Registry Registration)
If the following matters apply, we will clarify the necessary information, documents, and timeline through a meeting, and revise our pricing to submit a new proposal:
- General assembly with announcement / call
- Ordinary general assembly not having been held for the years 2021 or 2020
- One or more of the shareholders being foreign nationals or a company abroad
- Capital increase
- General assemblies attended by a Ministry representative
- Branch opening / closing resolution
- Merger / division / liquidation
- Board of directors change / election, revision of signature circulars
- Other specific matters
Note: If share certificates or share transition certificates (ilmuhaber) in lieu of share certificates have not been printed, we recommend that a Board of Directors resolution be passed to have them printed and distributed to the shareholders. In the event of a share transfer, in order to benefit from the tax exemption if a capital gain arises, share certificates or share transition certificates must be printed. To print share certificates or share transition certificates, the entire capital must be paid up.
