Holding of the 2023 General Assembly

As you know, joint-stock companies are required to hold their Ordinary General Assemblies in March.
(While there is no penal liability if not held, if the board of directors has been granted a 3-year authorization, the election of the board and the necessary authorization are mandatory in the 3rd year.)
If you would like us to manage the 2023 Ordinary General Assembly (without announcement) process, our fee is 20,000 TRY (+VAT) + expenses, plus 5,000 TRY + VAT (if the preparation of the Annual Activity Report is requested).
Services included in this fee:
Convening the General Assembly by taking a Board of Directors Resolution (Notary approval and registration)
Holding the General Assembly (Notary approval and Trade Registry Registration)
If the following matters apply, we will clarify the necessary information, documents, and schedule through a meeting, and revise our pricing to present a new proposal:
General assembly with announcement/call
Ordinary general assembly not held for 2022 or prior years
One or more shareholders being foreign nationals or a foreign company
Capital increase
General assemblies attended by a Ministry representative
Branch opening/closing decision
Merger/demerger/liquidation
Change/election of the board of directors, revision of signature circulars
Other special matters
Note: If share certificates or interim certificates (ilmuhaber) replacing share certificates have not been printed, we recommend that a Board of Directors resolution be passed for them to be printed and distributed to the shareholders. In the event of a share transfer, in order to benefit from tax exemption if a value increase gain arises, share certificates or interim certificates must be printed. To print share certificates or interim certificates, the entire capital must be fully paid up.
