New Tax Regulation on E-Commerce

According to the communique draft published on November 4, a withholding tax application on e-commerce transactions will be introduced as of 2025.

Withholding Tax Rates

- For sole proprietorships: 25%

- For corporate entities (Ltd., Inc.): 15%

Marketplaces or intermediary service providers will deduct this withholding tax from the amounts collected on behalf of the sellers and pay the remaining amount to the sellers.

Calculation and Application of Withholding Tax

- Withholding tax will be calculated over the amount excluding VAT.

- The withholding tax paid by marketplaces can be deducted from the temporary corporate or income taxes that sellers will pay at the end of the year.

- If the calculated tax amount is lower than the tax paid through withholding, sellers will be able to request a refund from the tax office.

Exemptions from Withholding Tax Application

- Sales by tax-exempt tradesmen and cash-on-delivery methods will not be subject to the withholding tax application.

Sample Marketplaces and Intermediary Service Providers

Platforms such as Hepsiburada, Trendyol, Amazon, Letgo, Sahibinden, ETS, and Setur will make withholding deductions. In addition, even if sellers use their own platforms, withholding tax will apply if the payment is processed through an intermediary institution (e.g., Iyzico).

Product Return Scenarios

- No withholding tax will be calculated for return transactions occurring within the same month.

- However, if the return transaction spills over into the following month, withholding tax will apply.

Sample Transaction

XX Inc. made a sale through Trendyol amounting to 100 TRY + VAT = 120 TRY and issued the invoice to the customer.

- Trendyol will deduct a 15% withholding tax on behalf of the seller XX Inc.:

* 15% of 100 TRY = 15 TRY withholding tax

* Amount to be paid to the seller: 85 TRY (net) + 20 TRY (VAT) = 105 TRY

- Trendyol will pay the 15 TRY withholding tax to the tax office at the end of the month via a withholding tax return.

XX Inc. will calculate its corporate tax at the end of the year:

- If corporate tax is more than 15 TRY:

* The 15 TRY paid by Trendyol will be deducted, and the remaining amount will be paid to the tax office.

- If corporate tax is less than 15 TRY:

* The 15 TRY paid by Trendyol will be deducted, and a refund for the overpaid amount will be requested.

UTTS – National Vehicle Identification System Starts on January 1st

The National Vehicle Identification System (UTTS) comes into force as of January 1st. Within the scope of this system, it becomes mandatory to have a "Vehicle Identification Unit" (TTB) installed on all vehicles registered in company assets or used under lease (passenger cars, commercial vehicles, motorcycles, construction machinery, etc.).

Electric vehicles are exempt from this practice.

Who Is It Mandatory For?

1. Company vehicles: Fuel purchased with vehicles that do not have a TTB installed in 2025 cannot be recorded as expenses.

2. Individual vehicles: The deadline for having the TTB installed is June 30, 2025.

UTTS Roadmap

1. Registration Procedures: Applications for system registration will be made with company and vehicle information via www.utts.gov.tr.

2. Vehicle Kit Application: An activation code for the vehicle will be obtained by paying 2,172 TRY.

3. Installation Appointment: By making an appointment with an authorized vehicle installation company, the TTB device will be installed on the vehicle.

4. Activation: The code obtained during the application will activate the TTB device installed on the vehicle.

Fuel Purchase Process

- Fuel pumps with a “UTTS logo” will identify the vehicle by reading the TTB chip in the vehicle.

- The vehicle license plate obtained from the chip will be automatically processed into the cash register on the pump.

- Manual license plate entry will not be possible.

- Following the fuel purchase, a “UTTS” approved receipt will be issued.

If the fuel purchase is made without the TTB device or if the device cannot be read, the printed receipt will bear the statement "Has No Fiscal Value" and this receipt cannot be used as an expense.
